The Forum of Free Enterprise is a non-political organization founded in 1956 by A. D. Shroff, and has been established to educate public opinion in India on free enterprise and a democratic way of life. The Forum publishes booklets to further its objects. The following booklet is titled “Corporate Governance – Indian Experience” was published on December 20, 2000, and was authored by Minoo R. Shroff. The author describes corporate governance. The author elucidates the evolution of corporate governance in India. The author discusses the shortcomings in the current system concerning the nominee directors, public sector companies, investors’ concerns, etc. The author describes the Chairman must ensure that the board and the top management have the right balance, knowledge, and competence, to set strategies and lead the organization. The author concludes with the view that while the movement towards more effective corporate governance has certainly gathered steam, a lot remains to be done. In the end, the booklet has the code of conduct for Free Enterprise, which was published by the Forum of Free Enterprise on 18th July 1956. And it has been prepared by the Forum of Free Enterprise for Industrialists, businessmen, and those belonging to different professions and vocations in India in the belief that they find it worthy of acceptance and application in their daily activities.
