The Forum of Free Enterprise is a non-political organization founded in 1956 by A. D. Shroff, and has been established to educate public opinion in India on free enterprise and a democratic way of life. The Forum publishes booklets to further its objects. The following booklet titled ‘The position of Directors under the Companies Act’ is authored by K. Venkoba Rao and published in 1962. The author examines the definition of director, constitution of board of directors, kinds of directors, restrictions on appointment of directors, board meetings, and vacation of office and removal with the view of the Companies Act. He elaborates the powers and functions of the Directors like deciding the rate of dividend, proposing new capital structure, etc. He further elaborates the disabilities, remuneration, and the legal position of the Directors. The text also highlights the Directors’ duty of care based on three principles illustrated by Romer J in Re City Equitable Fire Insurance Co. 1925.
